TaskQuad is an AI-powered project delivery platform that transforms ideas expressed in plain language into structured Product Requirements Documents (PRDs), technical architectures, and executable implementation tasks. The Service includes:

• Conversational Discovery — AI-guided scoping and requirements gathering through natural language conversation.
• PRD Generation — Automated creation of structured Product Requirements Documents with goals, user stories, and acceptance criteria.
• Architecture Design — AI-generated technical architecture including system components, data models, and technology stack recommendations.
• Task Planning — Granular, dependency-aware task breakdown with Kanban board management.
• AI Agent Execution — Autonomous code generation and task execution capabilities.
• Third-Party Integrations — Export and synchronization with project management tools such as Jira, Linear, and Trello.

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Service.

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Generate, store, or transmit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Use the Service to develop competing products or services.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Automate access to the Service (scraping, bots) beyond the provided APIs without prior written consent.
• Use AI-generated outputs to cause harm, spread misinformation, or for any malicious purpose.

The Service utilizes artificial intelligence and large language models to generate content. You acknowledge and agree that:

• No Guarantee of Accuracy — AI-generated outputs may contain errors, inaccuracies, or biases. You must independently verify all outputs before relying on them.
• Human Review Required — The Service is designed with human-in-the-loop approval at every stage (Discovery → PRD → Architecture → Tasks). You are responsible for reviewing and approving each artifact before proceeding.
• No Professional Advice — Generated outputs do not constitute professional software engineering, legal, business, or financial advice.
• Data Usage — Your inputs may be processed by third-party AI providers (such as OpenAI) to generate outputs. Please review our Privacy Policy for details on data handling.
• Code Execution — If you use the AI Agent Execution feature, code will be run in sandboxed environments. We are not liable for any consequences of executing AI-generated code in your own environments.

The Service may offer free and paid subscription plans. For paid plans:

• Fees are billed in advance on a monthly or annual basis as selected during subscription.
• All fees are non-refundable unless otherwise required by applicable law.
• We reserve the right to change pricing with 30 days' prior notice. Continued use after a price change constitutes acceptance of the new pricing.
• Failure to pay may result in suspension or termination of your access to paid features.

The Service may integrate with third-party services (e.g., Jira, Linear, Trello, GitHub). Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the practices described therein.

• Your access to or use of (or inability to access or use) the Service.
• Any conduct or content of any third party on the Service.
• Any AI-generated content or outputs obtained through the Service.
• Unauthorized access, use, or alteration of your transmissions or content.

Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim or (b) one hundred U.S. dollars ($100).

You agree to indemnify, defend, and hold harmless TaskQuad and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may terminate your account at any time by contacting us or through your account settings. Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your data in accordance with our data retention policies and Privacy Policy.
• Provisions that by their nature should survive termination will survive (including intellectual property, limitation of liability, and indemnification).

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TaskQuad operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
